THIS AGREEMENT (the "Agreement") is made on this____ day of ____,  2005, by  and  between  JOHAREEZ.COM AUCTIONS PVT. LIMITED, a Company incorporated under the Companies Act, 1956 and having its registered office at 301 - Varun II,  Raheja Township, Malad (East) Mumbai: - 400 097  Maharashtra, India (the "Johareez.com") and __________________, a Company/ individual, currently having office at / residing at ____ (the “Merchant”).

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. Definitions

As used herein, the following terms shall have the meanings set forth below:

(a)	“Agreement” means agreement embodied in this document including all recitals,  schedules,  appendices  and  annexures  and  will  be  deemed  to include    references    to    this    Agreement    as    amended,    novated, supplemented, varied or replaced from time to time;
(b)	“Johareez.com”  means  the  a  online  auction  platform  owned  and maintained by Johareez.com Auctions. Pvt. Ltd. which facilitates the users  to  sell and/or buy the listed products, by auction.
(c)	“Merchant”/“Auctioneer”  shall  mean  the company which  has  provided  its products to be listed for auction and/or mulitiple selling formats on Johareez.com
(d)	“Customer”  /  “Bidder”   may  mean  and  include  a   individual,   firm, company or any other legal entity who makes a bid for and or purchase any goods offered for sale on Johareez.com
(e)	“User”  means  and  include  any  individual  who  uses  or  accesses  the services provided through Johareez.com
(f)	“Listing”  means offering of products for through  Johareez.com’s website.

(g)	“Final Transaction Value” shall mean the bid price quoted by the bidder at which the products listed have been approved to be sold to the bidder.

2. Scope and Purpose

The purpose of this agreement  is to set forth the terms and conditions under which Merchantmay offer to sell their products to the Bidders through the online auction  platform  provided  on  Johareez.com  by  Johareez.com Auctions Pvt. Ltd.  This agreement constitutes binding obligations of the Merchant towards Johareez.com and the Bidder.


This  Agreement  is  effective  upon  Merchant’s  acceptance  and  signing  of  this
Agreement.

Johareez.com reserves the right to modify the Terms and Conditions of this Agreement from time to time without any prior notification. The Merchant is advised to check and review the said Terms and Conditions. At any point of time during the term of this  Agreement  if  the  Merchant is  not  agreeable  to  the  modified  Terms  and Conditions,  Merchant should  discontinue  using  the  Services.   The  Merchant’s continued  use  of  the  Services  would  constitute  binding  acceptance  of  the modification. Johareez.com shall refund to the Merchant the proportionate amount after adjusting any amounts that may be due from the Merchant.

In  addition  to  the  term  and  conditions  contained  in  this  agreement, the  Merchanthereby agrees to abide by the terms and conditions and the privacy policy of the usage of this service.

Johareez.com  reserves  the  right  to  alter,  modify,  add  or  remove  or  withdraw  any services  offered  without  prior  intimation.  In  the  event  Johareez.com  modifies  or launches any new service fees for such services, the service fees in effect from date of modification.

3. Registration Data

To  avail  of  and  use  these Services, the Merchant will  have  to  register  with  Johareez.com’s Certified Merchant Program as a Merchant of Johareez.com.  As part  of  registration  process, the  Merchant agrees  to  provide  Johareez.com current,   complete   and   accurate   registration   information   (“the Registration Data”) as promoted by the Service and to maintain and update this information as required to keep it current, complete and accurate. Merchant agrees and undertakes not to indicate the contact details such as email addresses, phone number anywhere on the site that is visible to user. Johareez.com reserves the right to remove the contact details if the same have been provided at any place other than registration form.

If Merchant provides any information that is untrue, inaccurate, not current or incomplete or JOHAREEZ has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Johareez.com has the right to indefinitely suspend or terminate Merchant’s membership and refuse to provide Merchant with access to Johareez.com’s Auctions.

Once  Merchant provides  the  registration  information,  Merchant shall be notified if their application has been approved or denied based on Johareez.com’s Certified Merchant Requirements. Johareez.com reserves the right in its sole discretion to grant or not to grant the registration.

Merchant shall  notify  merchants@johareez.com of any  known  or  suspected unauthorized  use(s)  of  their  account,  or  any  known  or  suspected  breach  of security, including loss, theft, or unauthorized disclosure of your password.

4. Electronic Communications

Merchant consents to receive communications from Johareez.com electronically. Johareez.com will communicate with Merchant by email or by posting notices on the Site.

5. Fees

The  services  are  prepaid  services  and  will  be  activated  by  JOHAREEZ  only  after receipt of 100% payment pertaining to the services which Merchant desires to avail of.

In consideration of the services  being provided under this Agreement, Merchant agrees to pay Johareez.com the following fees at the rates specified in the Johareez.com Fee Structure Documentation (This will be hyperlinked to a separate page on the site providing the Fees information)

Listing  Fees  –  Fees  to  be  paid  for  the  listing  of  items/products  on  Johareez.com.  The  said  fees  shall  be  charged  only  when  the  auction  for  the item/product listed is successful. 

Transaction Fees – based upon the percentage as may be specified by the Johareez.com on the Final Transaction Value. The said fees shall be adjusted from the amount collected by Johareez.com  from the successful  Bidder to whom the item/product has been sold.

Before the Merchant list an item for sale on Johareez.com, we request you to review our Fees Structure (Linked to Fee Structure Page). Johareez.com reserves the right to change its Fee Structure in its  sole  discretion  from  time  to  time  without  any  notice.  Changes  to  the  fee structure  shall  be  posted  on  Johareez.com and  such  changes  shall automatically become effective immediately after they are posted  on the Johareez.com Website.

The Merchant can also choose to enhance their listing by choosing the various facilities offered by Johareez.com (Subtitle, Bold, Featured Plus, Homepage Featured Plus). However, for every such facility availed of Merchant agrees to pay fees for each such enhancement facility in addition to the Listing and Transaction Fees. The said fees are specified in the Johareez.com Fee Structure Documentation (This will be hyperlinked to a separate page on the site providing the Fees information)

Johareez.com reserves  the  right  to amend, modify, alter, add or remove any of the enhancement facilities in its sole discretion from time to time without any notice.

Johareez.com  reserves  the  right to change  its enhancement fee structure in its sole discretion from time to time without any notice.

Merchant shall be responsible for paying all income taxes and other taxes charged to Merchant on amounts earned hereunder.  All financial and other obligations associated with Merchant’s business shall be the sole responsibility of Merchant.

Johareez.com reserves the right to terminate your  membership and refuse to provide Merchant with access to the Johareez.com website in case of non-payment of fees by Merchant to Johareez.com. Johareez.com also reserves the right to take legal action in case of non- payment of fees by Merchant to Johareez.com. Merchant further agrees that the Merchant shall be  solely  liable  for the  losses,  charges  if  any  incurred  by the Company due to uncollectable payments.

6. Payment Terms:

Johareez.com shall collect the price from the Bidder in respect of items sold to the Bidder. From the amount collected Johareez.com  will deduct the Transaction Fees (as per Fee Structure Documentation) and remit the balance amount to the Merchantafter fifteen days of the expiry of every fortnight. (for eg the payment in respect of period 1st Jan to 15th Jan will be made by Johareez.com in 1st week of February).

7. Merchant’s Obligations:

(a)	Merchant hereby agrees and undertakes to list and offer for sale only those items/products in respect of which the Merchant owns the proper, good and lawful title and ownership.
(b)	Merchant shall pass on a full, proper and adequate title to the Buyer in respect of goods sold through Johareez.com so as to enable the Buyer to enjoy the peaceful and quiet possession of the items purchased.
(c)	Merchant shall  ensure  that  the  products  offered  for  sale  through Johareez.com are fit for the purpose for which they have been sold.
(d)	Merchant shall  along with  the  proper  product  description  undertakes  to specify   the	delivery   terms,   return   policy,   manner of complaints and shall adhere to and comply with the conditions specified by the Merchant. The product description provided on Johareez.com must describe factual condition of the product and must not be misleading. If the item delivered does not match with the description provided on Johareez.com, Merchant agrees to refund the amount to the Buyer and settle any and all claims of the Buyer.
(e)	Merchant shall not list the same product in multiple listings. JOHAREEZ reserves the right to remove such listing without any intimation to the Merchant.
(f)	Merchant shall not engage in bid manipulation to unfairly induce any user to make and or manipulate the bids.
(g)	Merchant agrees and undertakes to deliver the product/items to the highest bidder whose order is approved by Johareez.com.
(h)	Merchant shall be responsible to deliver the items to the Buyer within the time period specified for delivery by the Merchant.
(i)	Merchant shall  ensure  that  the  items  are  delivered  to  the  Buyer  at  the mailing  address  provided  by  the  Buyer  and  that  the  said  items  are delivered in good and proper condition;
(j)	Merchant shall be solely responsible for any undelivered or damaged items.
(k)	Merchant shall be solely responsible  to make good the loss  or damage or any claim  raised by the Buyer in respect of damaged or non-receipt of items.
(l)	Merchant  shall   not,	directly   or   indirectly,   offer   for   sale   or   list   the items/products  the  dealings  in  respect  of  which  are  illegal,  restricted, prohibited in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force.
(m)	Merchant shall not offer for sale any items/products on Johareez.com that are damaged, defective or rejected items.
(n)	Merchant shall not offer  for sale the items,  which are not permitted to be sold by Johareez.com on Johareez.com. The items which are not permitted to be sold by Johareez.com on Johareez.com include but not limited to:
    (i)	"Securities"   within   the   meaning   of   the   Securities   Contract Regulation  Act,  1956,  including  shares,  bonds,  debentures,  etc. and/or any other financial instruments/assets of any description.
	(ii)  Weapons of any description.
    (iii)  Liquor, tobacco products, drugs, psychotropic    substances, narcotics, intoxicants of any description,      medicines, palliative/curative substances.
    (iv) "Antiquities" and "Art Treasures" in violation of the provisions of the Antiquities and Art Treasures Act, 1972 ("the Act").
	(v) Used cellular phone SIM Cards.
    (vi) Stolen or counterfeit items
    (vii)  Pornographic/vulgar/ obscene pictures, images, books, magazines, writings that are prohibited under Indian Penal Code and such other applicable laws;
    (viii) Living creatures of any description in which trading is prohibited under the Indian Penal Code and such other applicable laws;
	(ix) Any dangerous,	life threatening, hazardous chemicals or substances or items;
	(x)  Products/items that will offend any religious sentiments
    (xi) Books,  novels,  writings,  lotteries  and  such  other  items  that  are prohibited   to   be   sold   under   the   applicable   laws,   rules   and regulations.

(p)	Merchant shall ensure that if any of Merchant’s items listed on the Johareez.comqualifies as an "Antiquity" or "Art treasure" as defined in the Act  ("Artwork"),  Merchant shall  indicate  that  such  Artwork  is  "non-
exportable" and shall ensure that it is not delivered to any bidder/buyer at any place outside the territory of India.

(q) Merchant hereby agrees and undertakes to provide Johareez.com and the users of Johareez.com website with the information about the Products listed. Such information:

	(i)  shall not be false, frivolous, inaccurate, incorrect or misleading;
	(ii) shall not be fraudulent or constitute misrepresentation of facts;
	(iii) shall not infringe any third party's intellectual property, trade secret  or  other proprietary  rights  or  rights  of  publicity  or privacy;
	(iv) shall not be defamatory, derogatory, trade libelous, unlawfully threatening or unlawfully harassing;
	(v) shall not be Obscene/Pornographic/Vulgar/Provocative, patently   offensive to the online community, harasses or advocates harassment of another person,
	(vi) shall not provide instructional information about illegal activities such as making or buying illegal weapons or arms and ammunition,  violating  someone's  privacy, or providing or creating computer viruses;
	(vii) shall not promote an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect    devices, or providing pirated music, contains  restricted  or  password  only  access pages, or hidden pages or images (those not linked to or from another accessible page);
	(viii)	shall not contain any viruses, Trojan horses, worms or other computer  programming  routines that may damage, detrimentally    interfere  with,  surreptitiously  intercept  or expropriate any system, data or personal information;
	(ix) shall not link directly or indirectly to or include descriptions of items, goods or services that are not owned by the Merchant.
	(x) shall  not  contain  any information that is a confidential information or a trade secret of a third party.

8.	Warranties, Representations and Undertakings

The Merchant warrants, represents and undertakes that
(a)	Merchant has full rights to enter into this Agreement with Johareez.com
(b)	All  obligations  of  Merchant under  this  Agreement  are  legal,  valid  and binding obligations enforceable in accordance with its terms.
(c)	Merchant represents and confirms that Merchant is the lawful owner of all items, goods or products  of any description that Merchant has offered for sale on Johareez.com. Merchant shall have complete right, title and authority to deal in and offer for sale such items, goods or products.
(d)	Merchant shall  not,  either  alone  or  in  conjunction  with  other  Users, manipulate or attempt to  manipulate the prices of any item or services being sold or purchased on Johareez.com.
(e)	There are no proceedings pending,  which  may have a material adverse effect on the Merchant’s ability to perform and meet their obligations under this Agreement;
(f)	Merchant holds  all  the  requisite  permissions,  authorities,  approvals  and sanctions to conduct their business and to enter into an arrangement with the Company. Merchant shall at all times ensure compliance with all the requirements applicable for the purposes of this arrangement including but not limited to Intellectual Property Rights, Sales Tax, Central Sales Tax,  Service  tax,  Value  Addition  Tax,  Standard  Weights  &  Measures legislation, Excise and Import duties, Sale of Goods Act, etc.
(g)	Merchant represents that Merchant shall not offer for sale any item/product which is violation/ infringement of any intellectual property rights of any third party.
(h)	Merchant shall provide Johareez.com with copies of licenses, approvals, sanctions as may be required by Johareez.com for the purposes of this arrangement  within  48  hours  of  getting  a  written  notice  from  Johareez.com Auction Pvt. Ltd.
(i)	Merchant agrees and confirms that the complete product responsibility and liability solely vest with Merchant and Merchant is responsible to the Buyer for  the  sale  of  the  Product  to  Buyer  including  but  not  limited  to  the delivery of the item/product to the Buyer.  Neither Customer nor seller shall raise any claim on Johareez.com in this regard.
(j)	Merchant shall invoice / bill directly to the Buyer. Merchant’s identity will be disclosed to the buyer when the buyer finally buys/win the item.
(k)	Merchant agrees and represent that the information provided by the Merchant to  Johareez.com  under  this  Agreement  grants  Johareez.com a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, right to offer the Merchant’s item for sale.

9.	Johareez.com - an intermediary:

JOHAREEZ Auctions is an online platform which enables the users to buy and or sell items as per items allowed to be bought and sold at any price levels as indicated with respective listings at any time. JOHAREEZ   Auctions   is only facilitator/intermediary.

Johareez is not but is limited to control any transaction between the Buyer and Merchant only if the transaction seems unfit as per our user agreement and Merchant agreement. 

Johareez.com shall not  be  responsible  nor  liable  to  mediate  or  resolve  any  disputes  or disagreements between the Users.

Johareez.com shall not be responsible for any actions or inactions of Merchants and/or Buyers or any breach of any conditions, representations or warranties by any User.

Immediately after any auction in respect of  any item  is successfully closed on Johareez.com and order  is approved an e-mail is sent to both the Highest Bidder and the Merchant providing each of them the  contact information  of the other  party  to  enable  them  to  get  in  touch  with  each  other  to  complete  the transaction. Merchant agrees that the contact information that will be sent out will be the information that is provided by the Bidder/user in their Registration Data on Johareez.com. Johareez.com shall not be liable for any inaccuracy, incorrectness or incompleteness of any such information.

10. Disclaimer:

The  information  about  the  products  published  on  Johareez.com  site  are provided  by Johareez.com on the basis of the  information received from the product manufacturers and are on an "as is where is" basis.  To the full extent permissible by applicable law, Johareez.com disclaims all warranties, express   or   implied,   including   but   not   limited   to,   implied   warranties   of merchantability and fitness for a particular purpose. Johareez.com will not be liable for any damages of any kind arising from the use of this site or any of the products offered, including  but not limited to direct, indirect, incidental, punitive and consequential damages.

ALL SUCH INFORMATION, SOFTWARE, PRODUCTS,

SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY    OF    ANY    KIND.    JOHAREEZ    HEREBY    DISCLAIMS    ALL WARRANTIES  AND  CONDITIONS  WITH  REGARD  TO  THIS  SERVICE, SOFTWARE,     PRODUCTS,     SERVICES     AND     RELATED     GRAPHICS, INCLUDING    ALL    IMPLIED    WARRANTIES    AND    CONDITIONS    OF MERCHANTABILITY,      FITNESS      FOR      A      PARTICULAR      PURPOSE, WORKMANLIKE EFFORT, TITLE AND NON-INFRINGEMENT.

MERCHANT   SPECIFICALLY    AGREES    THAT    JOHAREEZ    SHALL    NOT	BE RESPONSIBLE  FOR  UNAUTHORIZED  ACCESS  TO  OR  ALTERATION  OF YOUR TRANSMISSIONS OR DATA, ANY  MATERIAL OR DATA SENT OR RECEIVED   OR   NOT   SENT   OR   RECEIVED,   OR   ANY   TRANSACTIONS ENTERED   INTO   THROUGH   AN   JOHAREEZ   SITE/SERVICE.   MERCHANT  U SPECIFICALLY AGREE THAT JOHAREEZ IS NOT RESPONSIBLE OR LIABLE FOR ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE OR ILLEGAL CONTENT     OR     CONDUCT     OF     ANY     OTHER     PARTY     OR     ANY INFRINGEMENT  OF  ANOTHER'S  RIGHTS,  INCLUDING  INTELLECTUAL PROPERTY RIGHTS. MERCHANTSPECIFICALLY AGREE THAT JOHAREEZ IS NOT RESPONSIBLE  FOR ANY CONTENT SENT USING AND/OR INCLUDED IN AN JOHAREEZ SITE/SERVICE BY ANY THIRD PARTY.

ADVICE  RECEIVED  VIA  THE  JOHAREEZ  SITES/SERVICES  SHOULD  NOT  BE RELIED   UPON	FOR   PERSONAL,   MEDICAL,   LEGAL   OR   FINANCIAL DECISIONS     AND     YOU     SHOULD	CONSULT     AN	APPROPRIATE PROFESSIONAL FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION.

11. Indemnity

Merchant agrees  to  defend,  indemnify  and  hold  harmless  Johareez.com, Johareez.com, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon the use  of Merchant’s actions or inactions, including but not limited to any warranties, representations or undertakings or in relation to the non-fulfillment of any of  its obligations under this Agreement or arising out of the Merchant’s infringement of any applicable  laws, regulations including but not limited to Intellectual  Property  Rights,  Local  Sales  Tax,  Central  Sales  Tax,  Service  tax, Standard Weights & Measures legislation,  Excise and Import duties, claim of libel,  defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights.

This clause shall survive the expiry or termination of this Agreement.

12. Severability:

If any clause of the User Agreement shall be deemed invalid, void or for any reason unenforceable, such clause shall be deemed severable and shall not affect the validity and enforceability of the remaining clauses of the User Agreement.

13.	Suspension due to lack of compliance with Rules

Notwithstanding  other  remedies  that  may  be  available,  Johareez.com  may limit Merchant activity by immediately removing Merchant listing either temporarily or  indefinitely  or suspend or terminate Merchant membership, and/or refuse to provide Merchant with access to the Site:

(a)	If the Merchant is in breach any of the terms and conditions of this Agreement and/or the Terms and conditions of usage of Johareez.com;
(b)	If  the  Merchant has  provided  wrong,  inaccurate,  incomplete  or incorrect information
(c)	Merchant has  not  paid  the  fees  or  any  amounts  due  under  this
Agreement.

14. Limitation of Liability

JOHAREEZ.COM HAS MADE THIS SERVICE AVAILABLE TO USE AS A MATTER OF CONVENIENCE.    JOHAREEZ.COM    EXPRESSLY    DISCLAIMS    ANY    CLAIM    OR LIABILITY ARISING OUT OF UPLOADING OF ANY OBSCENE, VULGAR OR PORNOGRAPHIC IMAGES, PHOTOGRAPH OR A PICTURE OR ALTERING OR DISTORTING THE IMAGES AVAILABLE UNDER THIS SERVICE IN AN OBSCENE,  VULGAR  OR  PORNOGRAPHIC  MANNER.  MERCHANT AGREES AND ACKNOWLEDGES THAT MERCHANTSHALL BE SOLELY RESPONSIBLE FOR MERCHANT’S CONDUCT AND THAT JOHAREEZ RESERVES THE RIGHT TO
TERMINATE   YOUR   RIGHTS   TO   USE   THE   SERVICE   IMMEDIATELY, NOTWITHSTANDING  PENAL  PROVISIONS  UNDER  THE  INDIAN  CYBER LAWS OR ANY OTHER ALLIED  LAWS ENACTED  BY THE GOVERNMENT OF INDIA OR ANY OTHER STATUTORY, LEGISLATIVE OR REGULATORY AUTHORITY AUTHORIZED IN THIS REGARD FROM TIME TO TIME.


IN  NO  EVENT  SHALL  JOHAREEZ.COM  SHALL   BE  LIABLE  FOR  ANY  DIRECT, INDIRECT, PUNITIVE, INCIDENTAL,   SPECIAL   OR   CONSEQUENTIAL DAMAGES    OR FOR ANY DAMAGES  WHATSOEVER  INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING  OUT  OF  OR  IN  ANY  WAY  CONNECTED  WITH  THE  USE  OR PERFORMANCE OF THE JOHAREEZ.COM  SITES/SERVICES  FOR  INTERRUPTED COMMUNICATIONS, DELAY, LOST DATA OR LOST PROFITS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT,  EVEN IF JOHAREEZ.COM  HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES, OR INABILITY TO USE THE JOHAREEZ.COM SITES/SERVICES OR RELATED SERVICES, THE PROVISION OF OR  FAILURE  TO  PROVIDE  SERVICES,   OR  FOR  ANY  INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE JOHAREEZ SITES/SERVICES, OR OTHERWISE ARISING OUT OF  THE  USE  OF  THE  JOHAREEZ  SITES/SERVICES,  WHETHER  BASED  ON CONTRACT,  TORT,  NEGLIGENCE,  STRICT  LIABILITY  OR  OTHERWISE, EVEN IF JOHAREEZ OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY  OF  DAMAGES.  JOHAREEZ  DOES  NOT  ENDORSE  IN  ANYWAY ANY ADVERTISERS/ CONTENTS OF ADVERTISERS ON ITS WEBPAGES.

THE CLAUSE SHALL SURVIVE THE TERMINATION OR EXPIRY OF THIS AGREEMENT.


15. Entire Agreement

If  any  part  of  this  agreement  is  determined  to  be  invalid  or  unenforceable pursuant   to   applicable   law   including,	but   not   limited   to,   the   warranty disclaimers  and  liability   limitations  set  forth  above,  then  the  invalid  or unenforceable provision will be deemed to be superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the  entire agreement between the user and Johareez.com with respect to the  Johareez.com sites/services and it supersedes all prior or contemporaneous  communications  and  proposals,  whether  electronic,  oral  or written, between the user and Johareez.com  with respect to  the Johareez.com sites/services. Johareez.com’s failure to act with respect to a  breach by you or others does not waive its right to act with respect to subsequent or similar breaches.

16.	Governing Law and Jurisdiction

This agreement is governed and construed in accordance with the Laws of Union of India. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Mumbai, Maharashtra, India, in all disputes arising out of or relating to  the  use   of  the   Johareez.com sites/services.  Use  of  the  Johareez.com sites/services  is unauthorized in any jurisdiction that does  not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree   to   indemnify   and   hold  Johareez.com, subsidiaries, affiliates, officers   and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the Johareez.com sites/services.

Johareez.com’s  performance  of  this  agreement  is  subject  to  existing  laws  and  legal process, and nothing contained in this agreement is in derogation of Johareez.com's right  to  comply  with  governmental,  court  and  law  enforcement  requests  or requirements relating to your use of the Johareez.com sites/services or information provided to or gathered by Johareez.com with respect to such use.

18. Trademarks

Johareez.com, “India’s Online Jewellery Marketplace”  and   any   other expression  that  contains  the  word  "Johareez"  are  the  worldwide  trademarks  of Johareez.com Auctions Private Limited. These trademarks may not be used in connection with any product or service that is not that of Johareez.com Auctions Private Limited.
